- This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
- The Architect shall maintain professional indemnity insurance of no less than £5,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
- All architectural drawings, designs, models, and documentation produced under this Purchase Order shall be the sole intellectual property of the Purchasing Party upon full payment of the agreed fees.
- The Architect shall comply with all applicable health and safety legislation, including the Construction (Design and Management) Regulations 2015, and shall act as the Principal Designer for the project in Manchester.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Architect. Late payments shall attract interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- The Architect shall attend all project coordination meetings held at the project site in Manchester, United Kingdom, and shall provide written progress reports on a fortnightly basis.
- Any variation to the scope of architectural services must be agreed in writing via a formal variation order to this Purchase Order before additional work is commenced.
- The Architect warrants that all services shall be performed with reasonable skill and care, in accordance with the RIBA Plan of Work 2020 and the standards expected of a chartered Architect practising in the United Kingdom.
- This Purchase Order may be terminated by either party with thirty (30) days written notice. In the event of termination, the Architect shall be entitled to payment for all services rendered up to the date of termination.
- All correspondence relating to this Purchase Order shall be directed to the addresses specified in Sections 1 and 2 above. Electronic communication is acceptable for day-to-day project matters but shall not constitute formal notice of termination or dispute.
