This Purchase Order is issued by Meridian Development Group, LLC (hereinafter referred to as the "Buyer") to Palmetto & Stone Architects, P.A. (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, planning, and documentation services for the construction of a mixed-use commercial and residential development located in Miami, Florida, United States. The Architect shall be responsible for all phases of design from conceptual planning through construction administration, in full compliance with the Miami-Dade County Building Code, the Florida Building Code, and all applicable federal regulations of the United States.

1. Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Miami, Florida, United States.
2. Payment Schedule: The Buyer shall remit payment to the Architect within thirty (30) calendar days of receipt of a valid invoice corresponding to the completion of each phase as outlined in the line items above. Payments shall be made via wire transfer to the bank account designated by the Architect. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Florida Statute Chapter 715.
3. Scope & Changes: The Architect shall perform all services strictly within the scope defined by this Purchase Order. Any additional services, design revisions exceeding two (2) iterations per phase, or changes in project scope must be documented in a written Change Order signed by both parties before execution. Change Orders shall be billed at the Architect's standard hourly rate of $275.00 per hour.
4. Permits & Approvals: The Architect is responsible for preparing and submitting all architectural permit applications to the Miami-Dade County Department of Regulatory and Economic Permits and any other applicable United States federal or state agencies. The Buyer shall be responsible for all permit fees, impact fees, and governmental charges assessed in the City of Miami.
5. Insurance & Indemnification: The Architect shall maintain professional liability (errors and omissions) insurance with a minimum coverage of $2,000,000 per occurrence and $4,000,000 in the aggregate, as well as general liability insurance of $1,000,000. The Architect shall indemnify and hold harmless the Buyer from any claims arising from the Architect's negligence or failure to comply with the Florida Building Code or Miami-Dade County regulations.
6. Intellectual Property: Upon full payment of all amounts due under this Purchase Order, all final construction documents, drawings, and design files produced by the Architect shall become the property of the Buyer. The Architect retains the right to use the project for portfolio and marketing purposes, subject to the Buyer's written approval.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay the Architect for all services rendered and expenses incurred up to the date of termination, plus a reasonable demobilization fee not to exceed 5% of the remaining contract value.
8. Compliance: The Architect warrants that all services shall comply with the Americans with Disabilities Act (ADA), the Florida Building Code, Miami-Dade County Land Development Regulations, and all applicable United States federal, state, and local building codes and ordinances in effect at the time of design and construction.
Acceptance & AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Architectural Services in Miami, Florida, United States. This document constitutes a binding agreement effective as of the date of the last signature.
