Description of Architectural ServicesThis Purchase Order is issued by Meridian Development Group, LLC (hereinafter referred to as the "Buyer") to Harlow & Voss Architects, P.C. (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, planning, and consulting services for the construction of a mixed-use commercial and residential development located at 214-218 East 42nd Street, Manhattan, United States New York City. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York and the municipal ordinances of the City of New York, United States New York City. Any disputes arising under this Purchase Order shall be resolved through binding arbitration in New York, NY, in accordance with the rules of the American Arbitration Association.
- Payment Terms: The Buyer shall issue payment within thirty (30) days of receipt of a valid invoice from the Architect. Invoices shall be submitted at the completion of each phase as outlined in the Line Items above. Late payments shall accrue interest at a rate of 1.5% per month, consistent with New York State Commercial Law.
- Architect's License & Insurance: The Architect warrants that Margaret L. Harlow holds a valid New York State Professional Engineer and Architect license (No. A-118472) and that the firm maintains a minimum of $5,000,000 in professional liability (errors and omissions) insurance and $2,000,000 in general liability insurance, with Meridian Development Group, LLC named as an additional insured.
- Compliance with New York City Regulations: The Architect shall ensure all deliverables comply with the New York City Zoning Resolution, the New York City Building Code, the New York City Fire Code, and all requirements of the New York City Landmarks Preservation Commission where applicable. The Architect is responsible for all permit fees and filing costs associated with the United States New York City project.
- Intellectual Property: Upon full payment, all drawings, plans, models, and design documents created by the Architect specifically for this Purchase Order shall become the property of the Buyer. The Architect retains the right to use general design methodologies and pre-existing intellectual property.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay the Architect for all services rendered and materials procured up to the date of termination, less any applicable liquidated damages.
- Confidentiality: The Architect agrees to maintain strict confidentiality regarding all project details, site plans, and proprietary information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for delays caused by acts of God, natural disasters, government actions, or events beyond reasonable control, provided that the affected party gives written notice within five (5) business days.
- Anti-Discrimination & Compliance: The Architect shall comply with all federal, New York State, and New York City anti-discrimination laws, including the New York City Human Rights Law, in the performance of services under this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and scope of work set forth in this Purchase Order. This Purchase Order constitutes a binding agreement for the architectural services described herein, to be performed in and around the United States New York City.
