This Purchase Order is issued by Golden Gate Development Partners, LLC (hereinafter referred to as the "Purchaser") to Meridian Architectural Studio, Inc. Payment for services rendered under this Purchase Order shall be made in accordance with the following schedule. The Architect shall submit itemized invoices to the Purchaser's accounts payable department upon completion of each milestone. Payment terms are Net 30 days from the date of invoice receipt. All payments shall be made via wire transfer to the bank account designated by the Architect. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with California Commercial Code Section 2304, applicable in the United States San Francisco jurisdiction.

4.1 This Purchase Order is governed by and shall be construed in accordance with the laws of the State of California, United States, and the municipal ordinances of the City and County of San Francisco. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

4.2 The Architect warrants that all services shall be performed in a professional and workmanlike manner consistent with the prevailing standards of the architectural profession in the United States San Francisco area. The Architect shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate throughout the duration of this Purchase Order.

4.3 The Architect shall comply with all applicable anti-discrimination laws, including the California Fair Employment and Housing Act, and shall ensure that all subconsultants engaged under this Purchase Order adhere to the same standards.

4.4 All intellectual property, including but not limited to architectural drawings, design concepts, and specifications produced under this Purchase Order, shall become the sole property of the Purchaser upon full payment. The Architect retains the right to use the project for portfolio and marketing purposes with prior written consent from the Purchaser.

4.5 The Architect shall not assign or subcontract any portion of the services described in this Purchase Order without the prior written consent of the Purchaser. Any approved subcontractors shall be subject to the same terms and conditions as set forth herein.

4.6 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to earthquakes, wildfires, or government-mandated shutdowns, which are of particular relevance to projects located in the United States San Francisco region.

IMPORTANT: The Architect acknowledges that all design and construction documents must comply with the San Francisco Building Code (SFC), the San Francisco Planning Code, the San Francisco Seismic Safety Ordinance, the San Francisco Green Building Ordinance, and all requirements of the San Francisco Department of Building Inspection. The Architect shall coordinate with the San Francisco Planning Department regarding any required Environmental Impact Reports (EIR) or Negative Declarations under the California Environmental Quality Act (CEQA). All architectural plans must be stamped and sealed by a California-licensed Architect (License No. A-184729) in good standing with the California Architects Board.

This Purchase Order becomes effective upon signature by both parties. The Architect's acceptance of this Purchase Order constitutes agreement to all terms, conditions, and specifications outlined herein. This document, together with any attached exhibits, constitutes the entire agreement between the Purchaser and the Architect regarding the architectural services for the project located in San Francisco, United States.
