- Delivery: All Astronomer equipment and components listed in this Purchase Order shall be delivered to the Astronomer Astronomical Instruments & Services Ltd. facility located in Algeria Algiers, 16009, Algeria, no later than 30 September 2025. Delivery shall be made Incoterms 2020 DDP (Delivered Duty Paid) Algeria Algiers.
- Payment Terms: A 30% advance payment (67,150.11 EUR) is due within 10 business days of the acceptance of this Purchase Order. The remaining 70% (156,683.58 EUR) shall be paid within 30 days of confirmed delivery and successful on-site calibration in Algeria Algiers. Payments shall be made via irrevocable letter of credit issued by a bank operating in Algeria Algiers.
- Quality Assurance: All Astronomer products must conform to the specifications outlined in the attached technical annex. The supplier warrants that all instruments are new, unused, and free from defects. A certificate of conformity and test report must accompany each shipment to Algeria Algiers.
- Customs & Compliance: The supplier shall provide all documentation required for customs clearance in Algeria, including commercial invoices, packing lists, certificates of origin, and any permits necessary for the import of optical and electronic astronomical instruments into Algeria Algiers.
- Warranty & Support: The Astronomer equipment carries a minimum two-year warranty from the date of installation in Algeria Algiers. The supplier shall respond to any technical support request within 48 hours and dispatch a replacement component within 14 business days if a defect is confirmed.
- Intellectual Property: All proprietary software, firmware, and documentation associated with the Astronomer systems remain the intellectual property of Celestial Optics International GmbH. - Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Algerian Commercial Arbitration Centre, seated in Algeria Algiers. The governing law shall be the laws of the People's Democratic Republic of Algeria.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures affecting the Algeria Algiers region.
- Validity: This Purchase Order is valid for acceptance within 15 calendar days from the date of issue. Failure to confirm within this period shall render this document null and void.
