- Scope of Purchase Order: This Purchase Order is issued by Dhaka University Research & Development Centre, Dhaka, Bangladesh, to Astronomer Scientific Instruments Ltd. for the supply, delivery, installation, and commissioning of the astronomical equipment and software listed above. All items shall conform to the specifications published in the current Astronomer product catalogue (Edition 2025-Q2).
- Delivery: Astronomer shall deliver all goods to the designated receiving warehouse at Plot 17, Road 3, Dhanmondi, Dhaka 1205, Bangladesh, under DDP (Delivered Duty Paid) terms. Delivery shall be completed within 45 calendar days from the date of this Purchase Order. Astronomer is responsible for all packaging, crating, and climate-controlled transport suitable for the tropical conditions of Dhaka.
- Payment: Payment shall be made within 45 days of receipt of a valid commercial invoice and proof of delivery. Payment shall be processed via irrevocable letter of credit issued by a scheduled bank in Dhaka, Bangladesh, in US Dollars. The buyer reserves the right to withhold 10% of the total amount until successful installation and a 30-day performance verification period are completed.
- Warranty & After-Sales Support: Astronomer guarantees all hardware items against defects in materials and workmanship for the warranty periods stated in the line-item table. Astronomer shall provide remote technical support via video conference and, where necessary, dispatch a certified Astronomer field engineer to Dhaka within 14 business days for on-site repair or replacement.
- Intellectual Property & Software: All Astronomer software licenses granted under this Purchase Order are non-transferable and restricted to use at the Dhaka campus facility. The buyer shall not reverse-engineer, decompile, or redistribute any Astronomer software components.
- Compliance & Import Regulations: Astronomer shall ensure that all shipped items comply with the import regulations of the Bangladesh Customs Department and the Bangladesh Standards and Testing Institution (BSTI). All necessary export documentation, certificates of origin, and phytosanitary or safety declarations shall be provided by Astronomer at no additional cost.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government embargoes, or events beyond reasonable control. In the event of a force majeure affecting delivery to Dhaka, the affected party shall notify the other within 72 hours and the delivery timeline shall be extended by a mutually agreed period.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 60 days, disputes shall be submitted to arbitration under the rules of the International Chamber of Commerce, with the seat of arbitration in Dhaka, Bangladesh.
- Confidentiality: Both parties agree to treat all technical specifications, pricing, and research data exchanged under this Purchase Order as confidential. This obligation survives termination of the agreement for a period of five years.
