  1. This Purchase Order is governed by the laws of the Kingdom of Belgium. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Brussels, Belgium.
  2. All goods and services described herein are intended for the exclusive use of the designated astronomer, Dr. Margaux Delacroix, and her research team at the Royal Observatory in Brussels. The supplier acknowledges that the equipment is procured for scientific research purposes in the field of astronomy.
  3. The supplier shall deliver all items to the specified address in Brussels, Belgium, no later than 30 September 2025. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
  4. All equipment shall carry a minimum 24-month warranty from the date of installation and acceptance by the astronomer at the Brussels facility. The warranty covers all defects in materials and workmanship.
  5. The supplier shall comply with all applicable Belgian and European Union regulations regarding the import, installation, and operation of scientific instruments, including CE marking requirements and electromagnetic compatibility directives.
  6. Intellectual property generated by the astronomer using the procured equipment shall remain the sole property of the Royal Observatory of Belgium. The supplier waives any claim to research data or publications resulting from the use of the supplied instruments.
  7. This Purchase Order may only be amended in writing, signed by authorized representatives of both parties. Verbal agreements or informal communications shall not constitute a valid modification.
  8. The supplier shall maintain full professional indemnity and product liability insurance with a minimum coverage of EUR 2,000,000 for the duration of the contract and the warranty period, valid in Belgium and the European Union.
