All items covered by this Purchase Order shall be delivered, fully assembled, and installed at the Brasília Astronomical Observatory, Setor de Cíncias Exatas, Asa Norte, Brasília, Federal District, Brazil. The supplier is responsible for all international logistics, customs clearance in Brazil, and final delivery to the designated site in Brasília. Installation must be completed no later than 90 calendar days from the date of this Purchase Order. The supplier shall provide on-site technical training for the Astronomer and her staff, ensuring full operational proficiency with every instrument before the handover is signed off.
Payment for this Purchase Order shall be made in three installments via irrevocable letter of credit issued by Banco do Brasil, S.A., Brasília branch:
- 40% (USD 125,080.00) upon signing and confirmation of this Purchase Order by both parties.
- 40% (USD 125,080.00) upon verified shipment and customs clearance at the airport or port of entry serving Brasília, Brazil.
- 20% (USD 62,540.00) upon successful installation, calibration, and acceptance by the Astronomer at the Brasília observatory site.
All payments are subject to the applicable Brazilian tax regulations, including IPI, PIS, COFINS, and the state-level ICMS levied in the Federal District of Brasília.
- This Purchase Order is governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brasília, DF.
- All equipment must comply with Brazilian regulatory standards (INMETRO, ANATEL where applicable) and be certified for use in Brazil, Brasília.
- The supplier warrants that all instruments are new, free from defects, and fit for professional astronomical research as specified by the Astronomer’s research protocol.
