- Delivery: All Astronomer products listed in this Purchase Order shall be delivered to the buyer's facility located at Av. Paulista, 1578, Bela Vista, São Paulo, SP, Brazil (CEP 01310-300). Delivery must be completed no later than August 15, 2025. Astronomer is responsible for all international shipping, customs clearance in Brazil, and final-mile delivery within the city of São Paulo.
- Payment Terms: Payment shall be made in Brazilian Reais (BRL) via international wire transfer to Astronomer's designated account. A 30% advance payment (R$ 436,325.40) is due within 10 business days of this Purchase Order's confirmation. The remaining 70% (R$ 1,018,092.60) shall be paid within 30 days of confirmed delivery and successful installation in São Paulo.
- Warranty: Astronomer provides a standard 24-month warranty on all hardware items listed in this Purchase Order. Software licenses carry a 12-month defect coverage period. Warranty service for the São Paulo installation shall be handled by Astronomer's authorized regional partner in Brazil or by Astronomer dispatching technicians from their São Paulo service hub.
- Compliance: All Astronomer products must comply with Brazilian regulatory standards, including ANATEL certification for electronic components and INMETRO compliance where applicable. Astronomer shall provide all necessary documentation for Brazilian customs (Declaração de Importação) prior to shipment.
- Installation & Training: Astronomer shall deploy a qualified engineering team to São Paulo, Brazil, for a minimum of five (5) consecutive business days to perform installation, calibration, and commissioning of all equipment. The three-day technical training workshop shall be conducted in Portuguese and English at the IPAB Training Center in São Paulo.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures in the Port of Santos (São Paulo), or international trade restrictions affecting Brazil.
- Governing Law: This Purchase Order shall be governed by the laws of the Federal Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, State of São Paulo. Any disputes shall first be subject to mediation in São Paulo before proceeding to litigation.
- Confidentiality: Both Astronomer and the buyer agree to maintain strict confidentiality regarding the technical specifications, pricing, and operational details contained in this Purchase Order. This obligation survives for a period of five (5) years from the date of final payment.
