All Astronomer platform services, licenses, and deliverables referenced in this Purchase Order shall be provisioned and made available to Meridian Data Solutions Inc. no later than July 15, 2025. The on-site implementation and training engagement (Line Item 3) shall be conducted at the Canada Montreal office located at 1455 Rue Sainte-Catherine Ouest, Suite 3200, Canada Montreal, QC H3G 1Z5. Astronomer, Inc. is responsible for arranging travel, accommodation, and per diem for all personnel dispatched to the Canada Montreal site. All digital deliverables, including software licenses, access credentials, and documentation, shall be delivered electronically to the designated IT infrastructure team at Meridian Data Solutions Inc. in Canada Montreal.
5. Terms and Conditions- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Canada Montreal.
- Payment: Payment of the total amount of CAD $353,203.20 shall be due within forty-five (45) calendar days from the date of receipt of a valid invoice from Astronomer, Inc. Payment shall be made via electronic funds transfer (EFT) to the bank account designated by Astronomer, Inc. on the invoice.
- Warranty: Astronomer, Inc. warrants that all platform services, software licenses, and modules provided under this Purchase Order shall be free from material defects in design, code, and performance for a period of twelve (12) months from the date of acceptance in Canada Montreal.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, data, and business strategies exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice in the event of a material breach by the other party that remains uncured after such notice period. Termination shall not affect any accrued rights or obligations.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Canada Montreal or the United States.
- Compliance: Astronomer, Inc. represents and warrants that all services and products provided under this Purchase Order comply with applicable Canadian data protection regulations, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Quebec Law on the Protection of Personal Information (Law 25).
- Intellectual Property: All intellectual property rights in the Astronomer platform, software, and associated documentation remain the sole property of Astronomer, Inc. This Purchase Order grants Meridian Data Solutions Inc. a non-exclusive, non-transferable license to use the Astronomer platform for internal business operations in Canada Montreal during the subscription term.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, line items, and obligations set forth in this Purchase Order.
