6.1 This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto in accordance with the rules of the Arbitration Association of Canada.
6.2 All equipment and instruments listed in Section 4 shall be delivered to the Astronomer's designated observation facility in Canada Toronto no later than the Required Delivery Date specified in Section 1. Late delivery shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
6.3 The Astronomer reserves the right to inspect all delivered items within five (5) business days of receipt. Any item found to be defective, damaged, or non-conforming to the specifications outlined in this Purchase Order shall be replaced or repaired at the Supplier's sole expense within ten (10) business days.
6.4 Payment shall be remitted via electronic funds transfer (EFT) to the Supplier's designated bank account in Canada Toronto within thirty (30) days of receipt of a valid invoice. The Astronomer shall not be liable for interest on payments made within the stipulated Net 30 period.
6.5 All intellectual property, observation data, and research outputs generated by the Astronomer using the procured equipment shall remain the sole property of the Astronomer and the University Research Institute for the Night Sky. The Supplier shall not claim any rights over such data or outputs.
6.6 The Supplier warrants that all optical components, electronic systems, and software delivered under this Purchase Order are free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation in Canada Toronto.
6.7 This Purchase Order constitutes the entire agreement between the Astronomer (Buyer) and Meridian Optics & Astronomical Instruments Ltd. (Supplier) with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
This Purchase Order is hereby authorized and executed by the undersigned parties. By signing below, both the Astronomer (Buyer) and the Supplier acknowledge and agree to all terms, conditions, line items, and obligations set forth in this document for the procurement of astronomical equipment, instruments, and professional services in Canada Toronto.
