All equipment items listed under this Purchase Order shall be delivered to the designated observatory facility located in Canada Vancouver, British Columbia, no later than July 15, 2025. The Astronomer shall commence professional services on August 1, 2025, and shall continue through July 31, 2026. Public outreach lectures in Canada Vancouver shall be scheduled on the first Saturday of each month from September 2025 through February 2026. The Astronomer is required to submit a final comprehensive research report by June 30, 2026.
5. Payment TermsPayment for this Purchase Order shall be made in three installments: (a) 40% upon execution of this Purchase Order and confirmation of equipment delivery in Canada Vancouver; (b) 35% upon completion of the six-month service milestone; and (c) 25% upon final delivery of the research report and completion of all public outreach sessions. All payments shall be made via electronic transfer to the Astronomer's designated account. Late payments shall incur a penalty of 1.5% per month as per Canadian commercial law applicable in Canada Vancouver.
6. Terms & Conditions6.1 This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in Canada Vancouver. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Vancouver.
6.2 The Astronomer warrants that all services rendered under this Purchase Order shall be performed with the highest degree of professional competence, in accordance with the standards established by the Royal Astronomical Society of Canada.
6.3 All equipment procured under this Purchase Order shall be new, free from defects, and accompanied by full manufacturer warranties. The Astronomer shall be responsible for the proper handling, storage, and maintenance of all equipment while in use in Canada Vancouver.
6.4 The Astronomer shall comply with all local regulations, permits, and bylaws applicable to astronomical observation activities in Canada Vancouver, including but not limited to light pollution ordinances and municipal zoning requirements.
6.5 Either party may terminate this Purchase Order with 60 days' written notice. In the event of early termination, the Astronomer shall be compensated for all services rendered and equipment delivered up to the date of termination.
6.6 All intellectual property generated by the Astronomer during the term of this Purchase Order, including research data, publications, and educational materials, shall be jointly owned by the Astronomer and the Pacific Northwest Research Consortium.
6.7 This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the Astronomer's engagement in Canada Vancouver.
