1. This Purchase Order is issued by the Observatorio Astronómico de Chile Santiago and governs the acquisition of specialized astronomical instrumentation and professional services for the use of the designated Astronomer, Dr. Valentina Reyes-Mendoza, and her research team.
2. All equipment listed in this Purchase Order shall be delivered to the Chile Santiago campus at Av. Providencia 1400, Santiago, Chile, no later than 30 August 2025. The vendor shall bear full responsibility for packaging, international shipping, customs clearance, and final delivery within Chile Santiago.
3. The Astronomer reserves the right to inspect and test all delivered instruments within fifteen (15) business days of arrival. Any equipment found to be defective, miscalibrated, or non-conforming to the specifications outlined in this Purchase Order shall be replaced or repaired at the vendor’s sole expense.
4. Payment terms: 40% advance payment upon signing of this Purchase Order; 50% upon successful delivery and initial calibration in Chile Santiago; 10% upon completion of the 12-month support period. All payments shall be made via bank transfer to the vendor’s account in Chilean Pesos (CLP).
5. The vendor warrants that all instruments are new, unused, and free from liens or encumbrances. The Astronomer’s institution shall be the sole and exclusive owner of all equipment upon full payment.
6. Intellectual property generated by the Astronomer using the purchased equipment shall remain the property of the Observatorio Astronómico de Chile Santiago. The vendor shall not claim any rights over observational data, publications, or research outputs.
7. This Purchase Order is subject to the commercial laws of the Republic of Chile. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Chile Santiago.
8. The vendor shall maintain a dedicated technical support line available 24/7 for the Astronomer during the 12-month warranty period, with a maximum response time of four (4) hours for critical instrument failures.
