This Purchase Order is issued to procure specialized astronomical instrumentation, optical components, and professional consulting services for the use of the designated Astronomer, Prof. Dr. Lin Xiaowei, in the conduct of deep-sky observation, spectrographic analysis, and exoplanet detection research at the Beijing Celestial Research Institute facility located in China Beijing. All items and services listed below shall be delivered, installed, and calibrated at the receiving site in China Beijing in accordance with the specifications outlined in Appendix A of this Purchase Order.

5.1 This Purchase Order constitutes a binding agreement between the Buyer (Beijing Celestial Research Institute Co., Ltd., China Beijing) and the Vendor (Stellar Dynamics International GmbH) upon written acceptance by both parties.

5.2 All equipment and services procured under this Purchase Order are exclusively for the use of the designated Astronomer, Prof. Dr. Lin Xiaowei, and shall not be transferred, sub-leased, or repurposed without prior written consent from the Buyer.

5.3 The Vendor shall ensure that all items comply with the import regulations of the People's Republic of China, including but not limited to the General Administration of Customs of China requirements for scientific and research equipment entering China Beijing.

5.4 Delivery shall be made DDP to the Buyer's facility in China Beijing. Risk of loss transfers to the Buyer only upon physical delivery and written acceptance at the China Beijing site.

5.5 The Vendor shall provide a minimum 24-month warranty on all hardware components. The Astronomer shall be the primary point of contact for warranty claims and technical support during the warranty period.

5.6 Payment shall be made via bank transfer to the Vendor's designated account within 45 calendar days of receipt of a valid commercial invoice. Late payments shall accrue interest at 1.5% per month.

5.7 This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising hereunder shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing.

5.8 The Vendor acknowledges that the Astronomer's research program involves sensitive astronomical data. All data generated using the procured equipment shall remain the sole property of the Buyer and shall be stored on servers physically located within China Beijing.

Upon delivery to the China Beijing facility, the designated Astronomer shall conduct a 14-business-day inspection and performance verification period. Acceptance shall be deemed complete only when the Astronomer issues a written Certificate of Acceptance confirming that all instruments meet the specifications stated in this Purchase Order. Any non-conforming items must be repaired or replaced by the Vendor at no additional cost within 30 days of notification.
