All Astronomer equipment and materials referenced in this Purchase Order shall be shipped via international freight to the buyer's designated receiving warehouse at 88 Pudong Science Avenue, China Shanghai. The seller, Astronomer Inc., assumes full responsibility for export packaging, international shipping, customs clearance documentation, and inland transport within China Shanghai until the goods are physically received and signed for by the buyer's logistics coordinator. Delivery to the China Shanghai site must be completed no later than August 15, 2025. Astronomer Inc. shall provide the buyer with a minimum of ten (10) business days' advance written notice prior to the scheduled arrival of any shipment at the China Shanghai port of entry. All Astronomer-branded crates and containers must bear the China Shanghai delivery address, the Purchase Order number PO-ASH-2025-04871, and the applicable Chinese customs declaration references.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order involving Astronomer Inc. and the China Shanghai buyer shall first be subject to mediation in China Shanghai before escalation to arbitration.
- Payment: The buyer shall remit payment of the full Purchase Order total of USD 1,304,200.00 within forty-five (45) calendar days of the date of final acceptance of all Astronomer goods and services at the China Shanghai facility. Payment shall be made via irrevocable letter of credit issued by a bank recognized in China Shanghai.
- Warranty: Astronomer Inc. warrants that all hardware delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of thirty-six (36) months from the date of commissioning in China Shanghai. Software licenses are warranted to function as described in the Astronomer product documentation for the full subscription term.
- Intellectual Property: All Astronomer proprietary software, firmware, and technical documentation remain the exclusive intellectual property of Astronomer Inc. The buyer's license to use Astronomer software is limited to the China Shanghai facility and its directly affiliated research stations.
- Compliance: Astronomer Inc. certifies that all items in this Purchase Order comply with applicable export control regulations of the United States and import regulations of the People's Republic of China. - Force Majeure: Neither party shall be liable for delays in fulfilling this Purchase Order caused by events beyond reasonable control, including but not limited to natural disasters affecting the China Shanghai region, international trade embargoes, or pandemics disrupting Astronomer's manufacturing or shipping operations.
