All physical goods shall be delivered to the OANB main facility at Carrera 30 No. 39-27, La Candelaria, Bogotá D.C., Colombia, no later than August 15, 2025. The observatory dome (Item 007) shall be delivered to the Chingaza auxiliary site by September 1, 2025. The seller is responsible for all international shipping, customs clearance within Colombia, and final-mile delivery within the Bogotá metropolitan area. Installation and calibration services (Item 008) shall be completed within 10 business days of final delivery. The training workshop (Item 009) shall be conducted at the OANB conference room in Bogotá between September 8 and September 12, 2025.
- Payment Schedule: 40% advance payment upon signing of this Purchase Order; 50% upon delivery and acceptance of all goods in Bogotá; 10% upon completion of installation, calibration, and the training workshop.
- Payment Method: Wire transfer to the seller’s account at Banco de Bogotá, Colombia. For international remittances, the buyer’s bank shall process the transfer in USD to the seller’s designated foreign account.
- Due Date: Each installment is due within 30 calendar days of the corresponding invoice date.
- Late Payment: A penalty of 1.5% per month (or the maximum rate permitted by Colombian law, whichever is lower) shall apply to overdue amounts.
- Tax Compliance: All applicable Colombian taxes, including IVA (VAT) at 19%, shall be included in the invoiced amounts. The seller shall issue a formal Colombian invoice (Factura Electrónica) compliant with DIAN regulations.
- This Purchase Order is governed by the commercial laws of the Republic of Colombia. Any disputes shall be resolved through the competent courts of Bogotá D.C., Colombia.
- All equipment is warranted for a minimum of 24 months from the date of acceptance. The warranty covers defects in materials and workmanship under normal use by the Astronomer and research staff.
- The seller guarantees that all items are new, unused, and free of liens. Software licenses are non-transferable and restricted to use at the OANB facilities in Bogotá and Chingaza, Colombia.
- The buyer reserves the right to inspect all goods upon delivery. Acceptance shall be documented in a written delivery note signed by the OANB receiving officer and the seller’s representative.
- Force majeure events, including but not limited to natural disasters affecting the Bogotá region, shall extend delivery deadlines by a period equal to the duration of the event.
- This Purchase Order becomes effective upon countersignature by both parties and remains valid until all obligations are fulfilled or the expiration date stated above, whichever comes first.
- Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
