1. PURPOSE AND SCOPE
This Purchase Order is issued by the Observatorio Astronómico de Medellín, located in Colombia Medellín, to procure specialized astronomical observation and research equipment for the use of its resident astronomer, Dr. Valentina Restrepo-Molina, and the broader research team. Payment shall be made via irrevocable letter of credit issued by Bancolombia S.A., Colombia Medellín branch, within 30 calendar days of the date of this Purchase Order. A 10% advance payment of $5,084.16 is due upon execution of this document. The remaining balance is payable upon confirmed delivery and acceptance at the receiving facility in Colombia Medellín.
4. DELIVERY AND LOGISTICS
All goods shall be shipped DDP (Delivered Duty Paid) to the Observatorio Astronómico de Medellín, Calle 43A No. 52-130, El Poblado, Colombia Medellín, Antioquia, 050021. The supplier is responsible for all packaging, crating, and climate-controlled transport suitable for the tropical, high-humidity environment of Colombia Medellín. Delivery must be completed no later than August 15, 2025. The receiving astronomer and a designated logistics coordinator at the Medellín site will inspect all items upon arrival and sign the delivery receipt within 48 hours. Any damage in transit must be reported to the supplier within 72 hours of delivery.
5. TERMS AND CONDITIONS
(a) This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). (b) The supplier warrants that all equipment is new, free from defects, and fully operational upon delivery to Colombia Medellín. (c) The extended warranty covers all mechanical and electronic components for a period of 24 months from the date of acceptance in Medellín. (d) The supplier shall provide remote technical support and, if necessary, on-site calibration by a certified technician at the Colombia Medellín facility within 14 business days of a warranty claim. (e) All intellectual property related to proprietary optical designs remains with the supplier. (f) This Purchase Order becomes binding upon signature by both parties. (g) Any disputes arising from this Purchase Order shall be resolved through arbitration in Bogotá, Colombia, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá.
6. SPECIAL NOTES FOR THE ASTRONOMER
Dr. Restrepo-Molina, as the lead astronomer at this Colombia Medellín facility, has specified that all optical components must be anti-corrosion treated to withstand the persistent humidity (average 78% relative humidity) characteristic of the Medellín valley. The dome must be equipped with a dehumidification system rated for 24-hour continuous operation.
