1. This Purchase Order is governed by the laws of the Arab Republic of Egypt and shall be interpreted in accordance with Egyptian commercial and labor regulations applicable in Egypt Alexandria.
2. The Astronomer shall maintain valid professional licensure issued by the Egyptian Ministry of Higher Education and Scientific Research throughout the entire engagement period in Egypt Alexandria.
3. Payment shall be made in monthly installments of EGP 76,380.00 (inclusive of VAT), due on the 5th business day of each month following the completion of the preceding month's services.
4. The Astronomer shall devote a minimum of forty (40) working hours per week to the duties outlined in this Purchase Order, with the primary work location being the Alexandria Astronomical Research Institute facility in Egypt Alexandria.
5. All astronomical data, observations, and research outputs produced under this Purchase Order shall be the exclusive intellectual property of the Alexandria Astronomical Research Institute, with the Astronomer retaining the right to cite the work in academic publications with prior written consent.
6. The Astronomer shall comply with all local regulations of Egypt Alexandria regarding public gatherings, educational activities, and the operation of astronomical instruments.
7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, payment shall be made pro-rata for services rendered up to the termination date.
8. The Astronomer shall carry professional liability insurance with a minimum coverage of EGP 2,000,000.00 for the duration of this engagement in Egypt Alexandria.
9. All disputes arising from this Purchase Order shall be resolved through arbitration in Egypt Alexandria in accordance with the Egyptian Arbitration Law No. 27 of 1994.
10. This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Astronomer and supersedes all prior negotiations, representations, or agreements.

All services under this Purchase Order shall be performed at the Alexandria Astronomical Research Institute, located at 42 Corniche El-Nil Street, El-Montazah District, Egypt Alexandria, 21543. The Astronomer shall report to the Director of Operations no later than 08:00 EET on each working day. Public outreach sessions in Egypt Alexandria shall be conducted at venues pre-approved by the Institute and the local Alexandria Governorate Education Authority.

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Astronomer in Egypt Alexandria. This document is executed in two (2) original copies, one for each party.
