All items covered by this Purchase Order shall be delivered to the Egyptian National Observatory & Astronomer Research Centre at the address specified above in Egypt Cairo. The supplier is responsible for all packaging, crating, and climate-controlled transport to the destination. Delivery is expected no later than 30 August 2025. The supplier must coordinate with the Astronomer's laboratory manager, Mr. Tarek El-Sayed, at least 10 business days prior to the scheduled delivery date to arrange dock access, crane availability for the telescope tubes, and customs clearance documentation at the Port of Alexandria or Cairo International Airport, as applicable. All goods must be insured for their full replacement value during transit to Egypt Cairo.
- Acceptance: The Astronomer and her designated technical team shall have a 14-business-day inspection period following delivery in Egypt Cairo to verify that all items conform to the specifications in this Purchase Order. Any non-conforming item must be replaced or repaired at the supplier's sole expense within 30 days.
- Warranty: All optical and mechanical components carry a minimum 3-year warranty from the date of acceptance in Cairo. The dome automation kit carries a 5-year warranty. The Astronomer's institution shall be the sole point of contact for all warranty claims.
- Payment: Payment of the full amount of USD 110,506.40 shall be made via irrevocable letter of credit issued by the National Bank of Egypt, Cairo branch, within 45 days of the date of acceptance. A 10% retention shall be withheld until the on-site training service (Item 10) is completed to the Astronomer's satisfaction.
- Intellectual Property: All proprietary software, firmware, and documentation provided with the equipment are licensed exclusively to the Astronomer and her research team at the Egyptian National Observatory. No redistribution is permitted.
- Governing Law: This Purchase Order shall be governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved by arbitration in Cairo, Egypt, under the rules of the Egyptian Arbitration Centre.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government embargoes, or port closures affecting the Egypt Cairo region.
- Compliance: The supplier warrants that all items comply with Egyptian import regulations, the Egyptian Standards and Organisation (ESMO) requirements, and all applicable international trade agreements. The Astronomer's institution reserves the right to reject any shipment that does not meet these standards.
This Purchase Order is hereby authorised and made binding upon the signatures of the undersigned representatives of both parties. By signing, each party acknowledges that it has read, understood, and agrees to all terms, conditions, and specifications set forth in this document regarding the procurement of Astronomer equipment for use in Egypt Cairo.
