- This Purchase Order is issued by Provenance Optique Scientifique SARL on behalf of the Astronomer, Dr. Amélie Rousseau, operating at the Observatoire de Marseille, France Marseille. All goods and services listed herein are subject to the terms stated in this document and the supplier's standard commercial terms, unless otherwise agreed in writing.
- Delivery of all physical items shall be made to the designated receiving dock at the Observatoire de Marseille, Place de la Visitation, 13003 France Marseille, no later than 29 August 2025. The supplier bears full responsibility for transit risk until goods are received and signed for by the Astronomer or her authorised representative at the France Marseille facility.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of this Purchase Order, provided that all goods have been inspected and accepted by the Astronomer without material defect. Late payments shall incur interest at the rate of 1.5% per month, in accordance with French commercial law (Code de commerce, Article L441-10).
- The Astronomer reserves the right to reject any item that does not conform to the specifications outlined in this Purchase Order or in the attached technical annex. Rejected items must be replaced or refunded within fifteen (15) business days at the supplier's sole cost.
- All intellectual property related to the training materials and software provided under Item 005 shall remain the property of the supplier. The Astronomer and the Observatoire de Marseille are granted a perpetual, non-transferable licence to use such materials for internal research and educational purposes within France Marseille.
- This Purchase Order is governed by the laws of the French Republic. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Marseille (Tribunal de Commerce de Marseille), France Marseille.
- The supplier warrants that all equipment is new, free from liens, and complies with all applicable European Union directives, including the CE marking requirements and the French regulatory framework for scientific instruments imported into France Marseille.
- Force majeure events, including but not limited to natural disasters, strikes, or governmental restrictions affecting the France Marseille region, shall suspend the obligations of both parties for the duration of the event, provided written notice is given within five (5) business days.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment shall be valid unless made in writing and signed by both parties.
