Terms and Conditions of This Purchase Order
- Delivery: All items listed in this Purchase Order shall be delivered to the Frankfurt Institute for Astronomer Research & Observation at Sternwarteallee 12, 60323 Frankfurt am Main, Germany. Delivery must be completed no later than 15 August 2025. The supplier is responsible for all transport, crating, and insurance of goods until they are received and signed for at the Germany Frankfurt delivery address.
- Acceptance: Upon arrival in Germany Frankfurt, the buyer's designated astronomer technical team shall have a period of fourteen (14) calendar days to inspect, test, and calibrate all delivered equipment. Acceptance is contingent upon all items meeting the specifications stated in this Purchase Order and the attached technical annex. Any non-conforming items must be replaced or repaired at the supplier's sole expense within thirty (30) days.
- Payment: Payment of the full grand total of €1,245,478.00 shall be made within forty-five (45) days of the date of a valid invoice issued by the supplier, provided that all goods and services have been accepted in accordance with Clause 2. Payment shall be made via SEPA bank transfer to the account designated by Celestial Instruments GmbH.
- Warranty: The supplier warrants that all hardware components are free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance at the Germany Frankfurt site. The software licence carries a twelve (12) month defect liability period. The annual maintenance contract (Item 008) extends comprehensive coverage for the first year of operation.
- Intellectual Property: All custom configurations, calibration data, and proprietary settings developed specifically for the astronomer research programme at the Frankfurt Institute shall remain the exclusive intellectual property of the buyer. The supplier grants no licence to use, reproduce, or distribute such data without written consent.
- Compliance: All equipment must comply with applicable German and European Union regulations, including but not limited to the German Product Safety Act (ProdSG), the EU Machinery Directive 2006/42/EC, and relevant electromagnetic compatibility standards (EMC Directive 2014/30/EU). The supplier shall provide all necessary conformity documentation and CE markings.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, war, government sanctions, or pandemics. The affected party must notify the other within five (5) business days of the occurrence of such an event.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the technical specifications of the astronomer equipment, and all proprietary data exchanged during the procurement and installation process. This obligation survives termination of this agreement for a period of five (5) years.
- Amendments: No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both parties. Verbal agreements or informal communications shall not constitute a binding amendment.
