- Scope of Purchase Order: This Purchase Order (PO No. AM-2025-004871) is issued by Munich Fine Horology GmbH, a registered entity in Germany Munich, for the procurement of Astronomer luxury timepieces as itemised in the line-item table above. All Astronomer products referenced herein must be new, factory-sealed, and accompanied by full manufacturer documentation, warranty certificates, and EU conformity declarations.
- Acceptance of Purchase Order: The Seller, Astronomer Watch Company Ltd., shall confirm acceptance of this Purchase Order in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void without further notice to the Buyer in Germany Munich.
- Payment Terms: Payment shall be made via bank transfer (SEPA) to the account designated by Astronomer Watch Company Ltd. within thirty (30) days of the date of the commercial invoice. The Buyer in Germany Munich shall remit the full amount of €334,215.20 to the following account: IBAN GB29 NWBK 6016 1331 9268 19, BIC NWBKGB2L. All banking fees shall be borne by the Buyer.
- Delivery & Risk Transfer: Delivery shall be made DDP (Delivered Duty Paid) to the Buyer’s warehouse in Munich, Germany. Risk of loss or damage to the Astronomer goods shall transfer to the Buyer only upon physical receipt and signed delivery confirmation at the Munich facility. The Seller shall arrange and bear the cost of all insurance covering the full value of the Astronomer shipment during transit.
- Quality & Inspection: Upon arrival in Germany Munich, the Buyer shall have a period of ten (10) business days to inspect all Astronomer timepieces for conformity with the specifications stated in this Purchase Order. Any Astronomer item found to be defective, damaged, or non-conforming shall be reported in writing to the Seller, who shall replace or refund the affected items at no additional cost to the Buyer.
- Warranty: All Astronomer products delivered under this Purchase Order shall carry the standard Astronomer international warranty of two (2) years from the date of delivery to Germany Munich. The Seller shall provide a consolidated warranty registration document for all units listed in this Purchase Order.
- Intellectual Property & Branding: The Buyer acknowledges that all Astronomer trademarks, trade names, and product designs are the exclusive property of Astronomer Watch Company Ltd. The Buyer in Germany Munich shall use the Astronomer brand name solely for the purpose of retail sale and marketing of the purchased timepieces and shall not modify, rebrand, or alter any Astronomer product in any manner.
- Compliance & Regulatory: This Purchase Order is governed by the laws of the Federal Republic of Germany. All Astronomer products imported into Germany Munich shall comply with applicable EU regulations, including but not limited to the EU General Product Safety Directive, REACH regulations, and German commercial law (Handelsgesetzbuch). Disputes arising from this Purchase Order shall be resolved by the competent courts in Munich, Germany.
- Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order resulting from events beyond reasonable control, including but not limited to natural disasters, war, sanctions, or government-imposed trade restrictions affecting the import of Astronomer goods into Germany Munich.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorised representatives of both Munich Fine Horology GmbH and Astronomer Watch Company Ltd. Verbal agreements or email communications shall not constitute a valid amendment to this Purchase Order.
