- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by Astronomer, Inc. The acceptance must be returned to Accra Data Solutions Limited in Ghana Accra within ten (10) business days of the date of issue.
- Delivery and Deployment: All software licenses and digital deliverables from Astronomer shall be made available to the Ghana Accra operations team no later than the dates specified in Section 3. On-site professional services in Ghana Accra shall commence on the dates indicated and shall be performed by Astronomer-certified engineers who will travel to and be hosted in Ghana Accra.
- Payment: Payment of the full Purchase Order amount shall be made within forty-five (45) calendar days of the date of invoice issuance by Astronomer. Payment shall be remitted in United States Dollars via international wire transfer to the bank account specified in Section 2. All applicable Ghanaian import duties, withholding taxes, and regulatory fees associated with this Purchase Order shall be borne by the buyer in Ghana Accra unless otherwise stated.
- Warranty and Support: Astronomer warrants that all software products and services delivered under this Purchase Order shall be free from material defects for a period of twelve (12) months from the date of deployment in Ghana Accra. The Premium Technical Support engagement shall provide continuous coverage for the duration of the subscription term.
- Intellectual Property: All intellectual property rights in the Astronomer platform, documentation, and proprietary tools remain the exclusive property of Astronomer, Inc. The buyer in Ghana Accra is granted a non-transferable, non-exclusive license to use the Astronomer software solely for internal business operations within the Ghana Accra facility.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order. This obligation extends to all data processed through the Astronomer platform while hosted in Ghana Accra and shall survive termination of this agreement for a period of three (3) years.
- Compliance with Local Law: This Purchase Order and all services rendered under it shall comply with the laws of the Republic of Ghana, including but not limited to the Data Protection Act 2012 (Act 843), the Companies Act 2019 (Act 992), and all regulations issued by the Ghana Revenue Authority. Astronomer shall cooperate fully with any regulatory inspections conducted in Ghana Accra.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, Astronomer shall provide a transition plan to ensure continuity of data pipelines operating in Ghana Accra, and the buyer shall settle all outstanding invoices.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the Republic of Ghana. Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties in Ghana Accra. If unresolved within thirty (30) days, the dispute shall be referred to arbitration under the rules of the Ghana Arbitration Centre in Accra.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, internet infrastructure failures in Ghana Accra, or pandemics, provided that the affected party notifies the other within five (5) business days.
