All items listed in this Purchase Order shall be delivered to the Mumbai Astronomer Research Institute premises located at 42, Vile Parle (West), Andheri Road, India Mumbai, Maharashtra – 400056. The supplier shall ensure that all astronomical instruments are properly crated, shock-absorbed, and climate-controlled during transit. Installation, calibration, and initial commissioning of all equipment for the Astronomer research team shall be completed within 45 (forty-five) calendar days from the date of this Purchase Order. The supplier's technical team shall be present at the India Mumbai site for a minimum of five (5) working days to ensure full operational readiness of all instruments.

Payment against this Purchase Order shall be made in the following schedule:

1. Advance Payment (40%): INR 29,12,776.00 – Payable within 7 (seven) working days of the supplier's written acknowledgment of this Purchase Order, via NEFT/RTGS to the supplier's designated bank account in India Mumbai.
2. Delivery Payment (50%): INR 36,40,970.00 – Payable within 14 (fourteen) working days of successful delivery and physical inspection of all items at the India Mumbai premises.
3. Final Payment (10%): INR 7,28,194.00 – Payable within 30 (thirty) days of successful completion of installation, calibration, and a 15-day performance warranty period for the Astronomer equipment suite.

All payments shall be made in Indian Rupees (INR) to the supplier's account: Stellar Instruments & Optics Pvt. Ltd., HDFC Bank, Andheri East Branch, India Mumbai, A/C No: 50200012345678, IFSC: HDFC0000123.

The supplier warrants that all astronomical instruments and equipment supplied under this Purchase Order shall be new, unused, and free from manufacturing defects. A minimum warranty period of 24 (twenty-four) months shall apply to all optical and mechanical components, and 36 (thirty-six) months shall apply to electronic and computational hardware. The warranty shall be valid for use by the Astronomer research team at the India Mumbai facility. Any defects discovered during the warranty period shall be rectified or replaced at no additional cost to the buyer within 10 (ten) working days of written notification.

1. This Purchase Order is governed by the laws of the Republic of India, and any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai, Maharashtra.
2. The supplier shall comply with all applicable Indian import, customs, and GST regulations. All items shall carry valid BIS certification where applicable.
3. The buyer reserves the right to inspect and test all equipment upon delivery at the India Mumbai site before accepting the same. Non-conforming items shall be rejected and replaced at the supplier's sole expense.
4. The supplier shall provide comprehensive user manuals, calibration certificates, and training sessions for the Astronomer research staff as part of the delivery scope.
5. Time is of the essence. Failure to deliver within the stipulated 45-day window shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.
6. This Purchase Order shall remain valid for 90 (ninety) days from the date of issue. Beyond this period, the buyer reserves the right to cancel or renegotiate terms.
7. All intellectual property related to the astronomical data generated using the equipment under this Purchase Order shall remain the sole property of the Mumbai Astronomer Research Institute, India Mumbai.

This Purchase Order is issued and authorized by the undersigned on behalf of the Mumbai Astronomer Research Institute, India Mumbai. The supplier's acceptance of this Purchase Order shall constitute a binding agreement to supply all items as specified herein.
