- Acceptance: This Purchase Order constitutes a binding offer from Osservatorio Scientifico Lombardo S.p.A. to Astronomer S.r.l. for the supply of the goods and services listed above. Acceptance of this Purchase Order by Astronomer shall be confirmed in writing within ten (10) business days of the date of issue.
- Delivery: All items shall be delivered to the designated facility in Italy Milan, specifically at Via delle Stelle, 42, 20121 Milan, in accordance with the DDP (Delivered Duty Paid) Incoterm. Astronomer shall bear all transportation costs, insurance, and customs clearance responsibilities up to the point of delivery in Milan, Italy.
- Quality Assurance: All Astronomer products must comply with the specifications outlined in Contract Reference CTR-AST-2025-0031 and with applicable European Union directives. A pre-shipment inspection report shall be provided to the Buyer no fewer than seven (7) days prior to the scheduled delivery date in Italy Milan.
- Payment: Payment shall be made via bank transfer to the account designated by Astronomer within forty-five (45) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Italian commercial law (Codice Civile, Art. 1284).
- Warranty: Astronomer shall provide a minimum warranty period of thirty-six (36) months from the date of installation for all hardware components. The warranty covers defects in materials and workmanship. Software updates for the Astronomer Analysis Suite shall be provided free of charge for a period of twenty-four (24) months.
- Intellectual Property: All proprietary software, firmware, and technical documentation supplied by Astronomer under this Purchase Order remain the intellectual property of Astronomer S.r.l. The Buyer is granted a non-exclusive, non-transferable license to use such materials solely for the purposes of the project identified in this document.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, political instability, or government-imposed restrictions affecting operations in Italy Milan or elsewhere.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and technical specifications contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent, except as required by Italian or EU regulatory authorities.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both Astronomer S.r.l. and Osservatorio Scientifico Lombardo S.p.A. Verbal agreements or informal communications shall not constitute valid amendments.
