6.1 – This Purchase Order is governed by the laws of the Italian Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved by the competent courts of Rome, Italy.
6.2 – The Astronomer shall commence all professional services no later than 1 September 2025. All deliverables, including observational data sets, spectrographic reports, and published papers, must be submitted to the INAR Director's office in Rome, Italy, within the timelines specified in Section 3.
6.3 – Payment shall be made in three installments: 40% upon signing of this Purchase Order, 40% upon completion of the primary observational campaign, and 20% upon final acceptance of all deliverables. Payments shall be transferred via bank wire to the Astronomer's designated account in Italy Rome.
6.4 – All astronomical equipment procured under this Purchase Order shall be delivered to the INAR facility in Rome, Italy, within 30 calendar days of the order date. The Astronomer shall be responsible for the initial calibration and integration of all instruments upon delivery.
6.5 – The Astronomer warrants that all observational data and research outputs produced under this Purchase Order shall be original, free from plagiarism, and in full compliance with the ethical standards of the Italian Astronomical Society (Società Astronomica Italiana).
6.6 – This Purchase Order may be amended only by mutual written agreement of both parties. Any modification must be documented in a supplementary annex bearing the same PO number and the place of execution, Italy Rome.
6.7 – In the event of force majeure, including but not limited to severe weather conditions affecting the observatory in Rome, Italy, the Astronomer shall notify the purchasing party within 48 hours, and the project timeline shall be extended accordingly.
