- Performance Location: All services under this Purchase Order shall be rendered in Japan Kyoto, specifically at the KICSTAR campus in Nishikyo-ku and the designated remote observation station in northern Kyoto Prefecture. The Astronomer is responsible for securing any necessary local permits for nighttime fieldwork.
- Intellectual Property: All data, observations, manuscripts, and research outputs generated by the Astronomer during the term of this contract shall be jointly owned by KICSTAR and the Astronomer, with primary publication rights resting with KICSTAR. The Astronomer retains the right to present findings at international conferences.
- Payment Schedule: Payment shall be made in three (3) equal instalments of JPY 5,500,000 each, due at the commencement of the contract, at the midpoint (15 September 2025), and upon final delivery of all deliverables. Payment shall be processed via bank transfer to the account specified in Section 2.
- Confidentiality: The Astronomer agrees to maintain strict confidentiality regarding proprietary research data, unpublished findings, and internal KICSTAR communications. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Astronomer shall comply with all applicable laws and regulations of Japan, including the Act on the Protection of Personal Information, the Science and Technology Basic Act, and local ordinances governing nighttime operations in Kyoto Prefecture.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of early termination, the Astronomer shall be compensated for all services rendered up to the date of termination, plus a reasonable wind-down period of two (2) weeks.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Japan Kyoto, in accordance with the rules of the Japan Commercial Arbitration Association. The governing law shall be the laws of Japan.
- Insurance: The Astronomer shall maintain professional liability insurance with a minimum coverage of JPY 100,000,000 for the duration of the contract. A certificate of insurance shall be provided to KICSTAR prior to the commencement of services.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Astronomer in Japan Kyoto. This document constitutes a binding agreement effective from the date of the last signature.
