Terms and Conditions
  1. Delivery and Installation: All physical equipment listed in this Purchase Order shall be delivered to the Osaka Astronomical Research Institute premises in Japan Osaka no later than August 15, 2025. Installation, calibration, and commissioning shall be completed by September 1, 2025, under the direct supervision of the contracted Astronomer.
  2. Payment Terms: A 30% advance payment ($221,512.50) is due upon acceptance of this Purchase Order. A 50% payment ($369,187.50) is due upon confirmed delivery of all equipment to Japan Osaka. The remaining 20% ($147,675.00) shall be paid within 30 days of successful commissioning and sign-off by the Astronomer and the institute's director.
  3. Warranty: The Supplier warrants all hardware components for a period of three (3) years from the date of commissioning in Japan Osaka. The Astronomer consulting services carry a 90-day performance guarantee. Any defects or non-conformities shall be remedied at the Supplier's sole expense.
  4. Intellectual Property: All observational data, research findings, and proprietary methodologies developed by the Astronomer during the engagement in Japan Osaka shall remain the exclusive property of the Osaka Astronomical Research Institute, as stipulated in the separate Non-Disclosure Agreement (NDA-2025-OSK-0092).
  5. Compliance with Japanese Regulations: The Supplier acknowledges that all equipment imported into Japan Osaka must comply with the Japanese Radio Law, the Electrical Appliance and Material Safety Law (DENAN), and applicable customs regulations. The Supplier is responsible for obtaining all necessary import permits and certifications prior to shipment to Japan Osaka.
  6. Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from natural disasters (including earthquakes and typhoons common to the Japan Osaka region), government actions, or other events beyond reasonable control. In such cases, the affected party shall notify the other within 48 hours.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Osaka, Japan, under the rules of the Japan Commercial Arbitration Association.
  8. Modification: No amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. Any change in scope of the Astronomer's services or equipment specifications must be documented as a formal change order.
  9. Confidentiality: Both parties agree to maintain strict confidentiality regarding the technical specifications, pricing, and research objectives associated with this Purchase Order. This obligation extends to all personnel involved in the execution of the contract in Japan Osaka.
