  1. Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Astronomer (Dr. Elena Vasquez) within five (5) business days of the date of issue. The Astronomer shall confirm acceptance in writing referencing Purchase Order number PO-JT-2025-00487.
  2. Delivery and Installation: All physical equipment shall be delivered to the Tokyo Metropolitan Astronomical Research Institute facility in Mitaka-shi, Japan Tokyo, no later than 01 August 2025. The Astronomer shall be present on-site for the full installation and calibration period, which shall not exceed ten (10) business days from the date of equipment delivery.
  3. Payment Terms: Payment shall be made in three installments: (a) 30% (¥12,791,400) upon execution of this Purchase Order; (b) 50% (¥21,319,000) upon successful delivery and initial calibration of all equipment in Japan Tokyo; (c) 20% (¥8,527,600) upon completion of the 30-day post-installation support period and final acceptance sign-off by the Buyer. All payments shall be made via bank transfer to the Astronomer's designated account in JPY.
  4. Warranty: All hardware items shall carry a minimum two-year manufacturer's warranty. The Astronomer's professional services and installation work shall be covered by a one-year service warranty from the date of final acceptance.
  5. Intellectual Property: All observational data, research outputs, and proprietary methods developed by the Astronomer during the term of this Purchase Order for the Japan Tokyo program shall be jointly owned by the Buyer and the Astronomer, as further detailed in a separate Intellectual Property Addendum.
  6. Compliance: The Astronomer and all subcontractors shall comply with all applicable laws and regulations of Japan, including but not limited to the Japan Meteorological Agency guidelines for astronomical observation, local noise ordinances in the Tokyo metropolitan area, and the Personal Information Protection Act (APPI) for any data handling.
  7. Force Majeure: Neither party shall be liable for delays caused by natural disasters (including typhoons common to Japan Tokyo), government-mandated closures, or other events beyond reasonable control. Affected timelines shall be extended by mutual written agreement.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association. The governing law shall be the laws of Japan.
  9. Confidentiality: Both parties agree to maintain strict confidentiality regarding the scope, specifications, and findings of the Astronomer's research program conducted in Japan Tokyo. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  10. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and equipment delivered up to the date of termination, less any applicable credits.
