All goods under this Purchase Order shall be delivered Incoterms 2020 — DDP (Delivered Duty Paid) to the Nairobi Astronomer Research Institute, located at P.O. Box 4521, Nairobi, Kenya. The supplier is responsible for all customs clearance, Kenyan Revenue Authority import documentation, and final-mile delivery within the Nairobi metropolitan area. The estimated delivery window is 45 to 60 calendar days from the date of this Purchase Order. The supplier must provide at least 10 business days’ written notice prior to the scheduled arrival of the shipment at Jomo Kenyatta International Airport (NBO) or the Nairobi port facility.
4. PAYMENT TERMSPayment shall be made in United States Dollars (USD) via irrevocable letter of credit issued by the buyer’s bank, KCB Bank Kenya Limited, Nairobi branch. A deposit of 30% of the total Purchase Order value is due upon signing. The remaining 70% shall be released upon confirmed delivery and successful inspection of all Astronomer equipment at the Nairobi facility. Late payments shall attract interest at the rate of 2% per month, in accordance with Kenyan commercial law.
5. TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between the Nairobi Astronomer Research Institute (Buyer) and Stellar Instruments International Ltd. (Seller) for the supply of Astronomer-grade observational and analytical equipment.
- All Astronomer instruments must carry a minimum manufacturer’s warranty of three (3) years from the date of delivery in Nairobi, Kenya, covering defects in materials and workmanship.
- The Seller shall provide comprehensive installation, calibration, and operator-training services for the resident Astronomer team at the Nairobi site. Training shall not exceed five (5) working days and shall be conducted in English.
- Any item found to be defective, damaged in transit, or non-conforming to the specifications stated in this Purchase Order must be replaced or repaired at the Seller’s sole cost within thirty (30) days of written notice from the Buyer.
- The Seller warrants that all goods are free from liens, encumbrances, and intellectual-property claims, and that they comply with all applicable Kenyan import regulations and the Kenya Bureau of Standards (KEBS) requirements.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Nairobi, Kenya, in accordance with the rules of the Arbitration Centre of the Nairobi Chamber of Commerce. The governing law shall be the laws of the Republic of Kenya.
- This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other party.
- The Seller shall maintain adequate product-liability insurance covering the Astronomer equipment throughout the warranty period, with a minimum coverage of USD 500,000.
