1. The Buyer shall have a period of ten (10) business days following delivery to inspect and test all equipment. Any defects, discrepancies, or non-conformities must be reported in writing within this inspection period.

3. Payment Terms: Payment shall be made in Kuwaiti Dinars (KWD) via bank transfer to the account designated by Astronomer Corporation. The full amount of 142,325.00 KWD is due within forty-five (45) calendar days from the date of the approved invoice, provided that all goods have been delivered, inspected, and accepted without deficiency. Late payments shall incur a penalty of 1.5% per month, in accordance with Kuwaiti commercial law.

4. Warranty: All Astronomer hardware products are covered by a minimum two-year manufacturer's warranty from the date of acceptance in Kuwait, Kuwait City. Software licenses include one year of complimentary updates and technical support. The annual maintenance contract (Item 07) extends comprehensive coverage for the first twelve months of operation.

5. Intellectual Property: All Astronomer software, firmware, and proprietary technology remain the intellectual property of Astronomer Corporation LLC. The Buyer is granted a non-transferable, site-specific license for use within the Kuwait, Kuwait City facility only. No reverse engineering, redistribution, or sublicensing is permitted without prior written consent from Astronomer Corporation.

6. Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from acts of God, war, civil unrest, government sanctions, or other events beyond reasonable control. In the event of a force majeure exceeding thirty (30) days, either party may terminate this Purchase Order upon thirty (30) days' written notice.

7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within sixty (60) days, disputes shall be referred to arbitration under the rules of the Kuwait Dispute Resolution Center in Kuwait, Kuwait City. The language of arbitration shall be English.

8. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical specifications, pricing, and operational data exchanged in connection with this Purchase Order.
