- Delivery Location: All goods shall be delivered to the Atlas Observatory & Research Institute premises located at 12 Boulevard Mohammed V, Casablanca, Morocco. Delivery shall be made DDP (Delivered Duty Paid) to the Casablanca port or the buyer's designated receiving warehouse in the Casablanca industrial zone, whichever is specified in the shipping instructions.
- Delivery Timeline: Astronomer Precision Instruments Ltd. shall dispatch all items within thirty (30) calendar days of the date of this Purchase Order. Estimated arrival in Casablanca, Morocco is no later than 15 July 2025. Any delay exceeding five (5) business days shall entitle the buyer to a penalty of 0.5% of the total order value per day of delay.
- Payment Terms: Payment shall be made in two installments: 40% (EUR 42,362.36) as an advance payment within ten (10) business days of the signing of this Purchase Order, and 60% (EUR 63,543.54) upon confirmed delivery and acceptance of all Astronomer equipment at the Casablanca receiving facility. Payment shall be made via irrevocable letter of credit issued by Bank Al-Maghrib, Casablanca branch.
- Inspection & Acceptance: The buyer reserves the right to inspect all Astronomer products upon arrival in Casablanca, Morocco. A period of fifteen (15) business days shall be allowed for full inspection, calibration, and testing. Any defects, non-conformities, or damaged items must be reported in writing to Astronomer Precision Instruments Ltd. within this period.
- Warranty: All Astronomer instruments are covered by a minimum three-year manufacturer's warranty from the date of acceptance in Casablanca. The extended warranty package (Ref 07) provides on-site technical support by Astronomer-certified engineers dispatched to Morocco as needed, with a maximum response time of seventy-two (72) hours.
- Intellectual Property: All Astronomer trademarks, product names, and proprietary technologies referenced in this Purchase Order remain the exclusive property of Astronomer Precision Instruments Ltd. The buyer shall not reproduce, modify, or reverse-engineer any Astronomer components without prior written consent.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by the laws of the Kingdom of Morocco and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Casablanca, Morocco, in accordance with the rules of the Moroccan Arbitration Centre.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures in Casablanca, or international trade restrictions affecting the Kingdom of Morocco.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and technical specifications contained in this Purchase Order. No information related to this Astronomer transaction in Casablanca, Morocco shall be disclosed to third parties without mutual written agreement.
