Terms and Conditions of This Purchase Order
- Payment Terms: 30% advance payment upon confirmation of this Purchase Order by the supplier; 60% upon shipment and provision of Bill of Lading; 10% upon successful installation and acceptance at the Astronomer Myanmar Yangon facility. All payments shall be made via international wire transfer to the supplier's designated bank account in EUR or USD.
- Delivery Terms: CIF (Cost, Insurance, and Freight) Yangon International Airport, Myanmar. The supplier bears all risk and cost of transport until the goods are delivered to the Astronomer Myanmar Yangon receiving warehouse at Sanchaung Township.
- Warranty: All Astronomer-branded hardware items carry a minimum 36-month warranty from the date of installation at the Myanmar Yangon site. Software licenses are covered under a 24-month support and update agreement.
- Compliance: The supplier shall ensure all goods comply with Myanmar's import regulations, the Myanmar Standards and Metrology Law, and any applicable restrictions on optical and electronic equipment. The supplier must provide a Certificate of Origin, commercial invoice, packing list, and any required export licenses.
- Acceptance: Astronomer Instruments & Solutions Co., Ltd. shall have 14 calendar days from the date of delivery at the Myanmar Yangon facility to inspect and test all items. Any defects or non-conformities must be reported in writing within this period.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government sanctions, port closures in Myanmar, or other events beyond reasonable control, provided written notice is given within 7 days of the event.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes shall be resolved through arbitration in Yangon, Myanmar, under the rules of the Myanmar Arbitration Centre.
- Intellectual Property: All Astronomer proprietary software, firmware, and technical documentation remain the intellectual property of Astronomer Instruments & Solutions Co., Ltd. and are licensed solely for use at the Myanmar Yangon facility.
