- Acceptance: This Purchase Order for the Astronomer platform becomes a binding contract upon written acceptance by Astronomer, Inc. The Buyer, Himalayan Data Solutions Pvt. Ltd., located in Kathmandu, Nepal, shall be responsible for all obligations herein.
- Payment: Payment of the full amount of USD 94,185.50 shall be made via international wire transfer to the bank account designated by Astronomer, Inc. within thirty (30) calendar days of the invoice date. All payments shall be processed through the Nepal Rastra Bank-approved banking channels in Kathmandu. The Buyer shall bear any intermediary bank charges arising from cross-border transfers from Nepal.
- Delivery and Access: Astronomer, Inc. shall grant the Buyer full access to the Astronomer Enterprise Platform no later than ten (10) business days following written acceptance of this Purchase Order. On-site services in Kathmandu, Nepal, including deployment and training, shall be scheduled mutually within thirty (30) days of platform access activation.
- Intellectual Property: All proprietary software, documentation, and intellectual property associated with the Astronomer platform remain the exclusive property of Astronomer, Inc. The Buyer is granted a non-transferable, non-exclusive license to use the Astronomer platform for internal business operations in Nepal Kathmandu during the subscription term.
- Warranty: Astronomer, Inc. warrants that the Astronomer platform shall perform materially in accordance with its published documentation for the duration of the subscription. Any defects shall be remedied within the SLA parameters specified in the Premium Support agreement.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination by the Buyer, all prepaid fees for the Astronomer subscription shall be non-refundable for the elapsed portion of the term.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Disputes shall be resolved through arbitration in Kathmandu, Nepal, under the rules of the Nepal Chamber of Commerce.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes, which are a recognized risk in the Kathmandu Valley region), government actions in Nepal, or other events beyond reasonable control.
- Compliance: The Buyer confirms that the purchase and use of the Astronomer platform complies with all applicable laws of Nepal, including the Electronic Transactions Act, 2063 (2006) and data protection regulations issued by the Nepal government.
