4.1 Scope of Work: The Astronomer shall perform all duties outlined in Section 3 of this Purchase Order in accordance with the professional standards expected of a senior astronomer operating within the Netherlands. All work shall be conducted primarily at the AIAS premises in Amsterdam, Netherlands, unless otherwise agreed in writing by both parties.
4.2 Intellectual Property: All data, reports, and analytical outputs produced by the Astronomer under this Purchase Order shall remain the exclusive property of the Amsterdam Institute for Astrophysical Sciences. The Astronomer retains the right to reference the work in academic publications, provided prior written consent is obtained from the Buyer.
4.3 Confidentiality: The Astronomer agrees to maintain strict confidentiality regarding all proprietary data, unpublished research findings, and internal communications of the AIAS. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4.4 Compliance: The Astronomer shall comply with all applicable laws and regulations of the Netherlands, including but not limited to the Dutch Working Conditions Act (Arbeidsomstandighedenwet), the General Data Protection Regulation (GDPR) as implemented in the Netherlands, and all environmental regulations pertaining to astronomical observation activities in the municipality of Amsterdam.
4.5 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Astronomer shall be compensated for all services rendered up to the effective date of termination, as calculated on a pro-rata basis.
4.6 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Amsterdam, Netherlands, in accordance with the rules of the Dutch Arbitration Institute (Netherlands Arbitration Institute, NAI). If mediation fails, the matter shall be submitted to the competent court in Amsterdam, Netherlands.
Payment for this Purchase Order shall be made in three (3) instalments via bank transfer to the IBAN specified in Section 2:
