The Astronomer shall comply with all local Auckland Council regulations, New Zealand Health and Safety at Work Act 2015 requirements, and any applicable environmental permits for nighttime observation activities.

• Payment shall be made in monthly instalments of NZD 29,219.58 (inclusive of GST), due within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier.
• Payment method: Electronic Funds Transfer (EFT) to the Supplier's nominated New Zealand bank account.
• A retention of five percent (5%) of each monthly payment shall be held by the Buyer until final acceptance of all deliverables at the conclusion of the engagement.
• Late payments shall attract interest at the rate prescribed under the New Zealand Late Payment of Debts Interest Act 1993.
• All amounts are quoted in New Zealand Dollars (NZD) and are inclusive of applicable Goods and Services Tax (GST) at the prevailing rate of 15%.

• 7.1 This Purchase Order is governed by the laws of New Zealand. Any disputes shall be resolved through the District Court of Auckland, New Zealand.
• 7.2 The Astronomer shall maintain professional indemnity insurance with a minimum cover of NZD 5,000,000 for the duration of this engagement.
• 7.3 All data, observations, and intellectual property generated by the Astronomer under this Purchase Order shall be the sole property of the Auckland Institute of Advanced Research, subject to standard academic publication rights.
• 7.4 The Astronomer shall adhere to the New Zealand Code of Research Integrity and the ethical guidelines of the Royal Society of New Zealand (RSNZ).
• 7.5 Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
• 7.6 The Supplier warrants that the Astronomer engaged under this Purchase Order holds a minimum of a Doctorate in Astronomy or Astrophysics and is a registered member of the Royal Astronomical Society of New Zealand.
• 7.7 The Astronomer shall submit a written progress report to the Buyer on the last business day of each calendar month, detailing observations completed, data processed, and any anomalies encountered during the engagement in New Zealand Auckland.
• 7.8 This Purchase Order does not constitute an employment relationship. The Astronomer is engaged as an independent contractor under New Zealand law.
