- Payment Terms: Payment shall be made within thirty (30) calendar days of the date of this Purchase Order via wire transfer to Astronomer, Inc.'s designated bank account. A 20% advance payment of $62,817.75 USD is due upon execution of this Purchase Order to confirm the order for Astronomer's production and provisioning team.
- Delivery: All hardware components (Item 5) shall be delivered to LDIL's data center facility at 12B Adeola Odeku Street, Victoria Island, Lagos, Nigeria, no later than 01 August 2025. Software licenses and digital deliverables (Items 1–4) shall be delivered electronically within five (5) business days of the advance payment confirmation.
- Training Location: The on-site training specified in Item 2 shall be conducted at the LDIL headquarters in Lagos, Nigeria. Astronomer shall provide all training materials, licensed software environments, and certified instructors. Travel and accommodation for Astronomer's training personnel shall be covered by LDIL in accordance with Nigerian hospitality standards.
- Warranty and Support: Astronomer warrants that all software licenses are free from defects and shall provide 24/7 technical support for the Enterprise Platform. Hardware appliances carry a 24-month warranty from the date of delivery in Lagos. Support tickets shall be acknowledged within four (4) hours during Nigerian business hours (08:00–17:00 WAT, Monday to Friday).
- Compliance: All data processed through the Astronomer platform in Nigeria Lagos shall comply with the Nigeria Data Protection Act (NDPA) 2023, the Nigeria Information Technology Development Agency (NITDA) regulations, and the Central Bank of Nigeria (CBN) data residency requirements where applicable.
- Intellectual Property: All Astronomer proprietary software, documentation, and workflow templates remain the intellectual property of Astronomer, Inc. LDIL is granted a non-transferable, non-exclusive license to use these materials solely for internal operations within Nigeria.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to port congestion at Lagos Apapa/Tin Can Island ports, power infrastructure failures in Lagos, or government-imposed trade restrictions in Nigeria.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration (LCA).
- Validity: This Purchase Order is valid for sixty (60) days from the date of issue. If Astronomer does not acknowledge receipt and acceptance within ten (10) business days, this Purchase Order shall be considered void.
