- Delivery. Astronomer S.A.C. shall deliver all goods to the Observatorio Astronómico de Chosica, Lima, Peru, no later than 15 August 2025. Delivery shall be made DDP (Delivered Duty Paid) in accordance with Incoterms 2020. All packaging must be suitable for high-altitude transport within the Lima metropolitan area and the Chosica valley.
- Warranty. Astronomer S.A.C. guarantees a minimum of thirty-six (36) months of comprehensive warranty on all hardware items listed in this Purchase Order, covering defects in materials, workmanship, and optical performance. The warranty period commences on the date of successful commissioning and acceptance by the buyer's technical committee in Lima.
- Acceptance & Inspection. Upon arrival at the Lima delivery site, the buyer's engineering team shall conduct a 15-business-day inspection and performance verification. Any non-conforming Astronomer product must be replaced or repaired at no additional cost to the buyer within 30 calendar days of written notice.
- Payment. Payment shall be made in Peruvian Soles (PEN) within forty-five (45) calendar days of the buyer's receipt of a valid SUNAT-compliant electronic invoice (comprobante electrónico) from Astronomer S.A.C. Late payments shall accrue interest at the rate established by the Banco Central de Reserva del Perú (BCRP).
- Intellectual Property & Licensing. All Astronomer proprietary software, firmware, and control systems delivered under this Purchase Order are licensed exclusively to the Observatorio Nacional del Perú for use at its facilities in Lima and other Peruvian observatory sites. Redistribution or reverse engineering is prohibited.
- Force Majeure. Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Lima region, government-mandated closures, or international supply-chain disruptions, provided that written notice is given within five (5) business days.
- Dispute Resolution. Any dispute arising from this Purchase Order shall be resolved through binding arbitration administered by the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima, under the arbitration rules in force at the time of filing. The seat of arbitration shall be Lima, Peru.
- Compliance. Astronomer S.A.C. warrants that all goods and services provided under this Purchase Order comply with applicable Peruvian legislation, including Ley Nº 30225 (Ley de Promoción de la Inversión Privada en Infraestructura), SUNAT tax regulations, and environmental standards set by MINAM for the Lima metropolitan area.
