All physical deliverables, on-site services, and deployment activities associated with this Purchase Order shall be executed at the following location in Saudi Arabia, Riyadh:
Primary Site: NDIC Headquarters, King Fahd Road, Al Olaya District, Riyadh 12211, Saudi Arabia.
Secondary Site: NDIC Data Center, Al Muruj Industrial City, Riyadh 14333, Saudi Arabia.
The Astronomer platform shall be deployed in a manner that complies with all data residency requirements mandated by the Saudi Arabian government, ensuring that all data processed through the Astronomer platform remains within the borders of Saudi Arabia, Riyadh, unless explicit written consent is provided by NDIC.
5. Terms and Conditions- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order related to the Astronomer platform services shall be subject to the exclusive jurisdiction of the courts of Riyadh, Saudi Arabia.
- Intellectual Property: All intellectual property rights in the Astronomer platform, including source code, documentation, and proprietary algorithms, remain the sole property of Astronomer, Inc. NDIC is granted a non-transferable, non-exclusive license to use the Astronomer platform within Saudi Arabia, Riyadh, for the duration of the subscription term.
- Warranty: Astronomer, Inc. warrants that the Astronomer platform delivered under this Purchase Order shall be free from material defects in design and workmanship for a period of twelve (12) months from the date of successful deployment in Riyadh, Saudi Arabia.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order. Astronomer, Inc. shall not disclose any NDIC data, business processes, or operational details to any third party without prior written consent, in compliance with Saudi Arabian data protection regulations.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions affecting the Kingdom of Saudi Arabia.
- Termination: Either party may terminate this Purchase Order with ninety (90) days written notice. In the event of termination, Astronomer, Inc. shall provide a full data migration and decommissioning plan for the Astronomer platform within the Riyadh infrastructure.
- Compliance: The Astronomer platform and all associated services shall comply with the Saudi Data and AI Authority (SDAIA) regulations, the Saudi Communications and IT Commission (CITC) guidelines, and all applicable Saudi Arabian commercial and labor laws.
