This Purchase Order is issued by the Dakar Astronomical Research Institute to procure specialized astronomical instruments, observational equipment, and professional services rendered by a certified Astronomer. All physical equipment listed under this Purchase Order shall be delivered to the DARI facility at Avenue Cheikh Anta Diop, Plateau, Dakar, Senegal, no later than 30 August 2025. The assigned Astronomer shall arrive in Dakar, Senegal, no fewer than five (5) business days prior to the scheduled equipment delivery to conduct a preliminary site assessment of the observatory dome, power infrastructure, and data network connectivity. The Astronomer shall remain in Dakar, Senegal, for the full duration of the installation and calibration phase, which is estimated at twenty-one (21) working days. All shipping shall be arranged via the Port of Dakar or Blaise Diagne International Airport (DSS), and the Seller shall bear full responsibility for international freight, insurance, and customs documentation in accordance with Senegalese import regulations.

Payment for this Purchase Order shall be made in West African CFA Francs (XOF) via irrevocable letter of credit issued by the Banque Atlantique du Sénégal, Dakar branch, in favor of Celestial Instruments International Ltd. The payment schedule is as follows: (a) thirty percent (30%) upon execution of this Purchase Order; (b) forty percent (40%) upon confirmed shipment and presentation of the bill of lading; and (c) the remaining thirty percent (30%) upon successful completion of installation, calibration, and acceptance testing by the DARI technical committee in Dakar, Senegal. All payments are subject to the terms of the applicable letter of credit and the commercial code of the Republic of Senegal.

  1. This Purchase Order is governed by the laws of the Republic of Senegal and, where applicable, the Uniform Act on Commercial Law (OHADA) applicable in Senegal, Dakar, and the broader WAEMU region.
  2. The Astronomer engaged under this Purchase Order shall hold a minimum of a Master's degree in Astronomy or Astrophysics and shall possess at least ten (10) years of professional experience in the installation and operation of large-aperture optical and radio telescopes.
  3. All equipment shall carry a minimum manufacturer's warranty of twenty-four (24) months from the date of acceptance in Dakar, Senegal. The Astronomer shall provide a written warranty endorsement for all services rendered.
  4. The Seller shall provide all necessary technical documentation, user manuals, and software licenses in both English and French to accommodate the bilingual operational environment of Dakar, Senegal.
  5. Any dispute arising from this Purchase Order shall be resolved through arbitration in Dakar, Senegal, in accordance with the rules of the OHADA Arbitration Court.
  6. The Seller warrants that all equipment is free from liens, encumbrances, and intellectual property claims, and that the Astronomer's services do not conflict with any prior contractual obligations.
  7. Force majeure events, including but not limited to port strikes at the Port of Dakar, extreme weather conditions affecting the Dakar region, or government-mandated closures in Senegal, shall extend delivery timelines proportionally.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Astronomer equipment and services for use in Dakar, Senegal.
