3. SCOPE OF PURCHASE — ASTRONOMER SERVICES

This Purchase Order is issued by the Cape Town Institute for Advanced Astrophysical Research to formally engage the services of a qualified Astronomer for a twelve-month research and operational contract. The Astronomer shall provide expert astronomical observation, data analysis, instrument calibration, and public outreach services at the CTIAAR facility located in the Observatory district of Cape Town, South Africa. The engagement is governed by the terms set forth in this Purchase Order and the attached Statement of Work (Annexure A).

5. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa, specifically the Western Cape provincial regulations applicable to scientific research institutions in Cape Town.
  2. Commencement: The Astronomer shall commence all services no later than 1 July 2025 at the CTIAAR facility, Observatory, Cape Town. A formal induction and site safety briefing will be conducted on the first day.
  3. Performance Standards: The Astronomer is expected to maintain a minimum of 70% clear-night observation uptime per month, as recorded in the facility logbook. Failure to meet this threshold for two consecutive months shall trigger a performance review.
  4. Intellectual Property: All astronomical data, observations, and research outputs generated by the Astronomer during the term of this Purchase Order shall be the sole property of CTIAAR. The Astronomer retains the right to publish findings in peer-reviewed journals with prior written approval from the Director of Research Operations.
  5. Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment will be made within thirty (30) calendar days of receipt of a valid tax invoice, via electronic funds transfer to the supplier's registered bank account in South Africa.
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. All outstanding invoices for services rendered up to the termination date shall be settled in full.
  7. Insurance and Liability: The Astronomer shall maintain professional indemnity insurance of no less than ZAR 5,000,000 and public liability insurance of no less than ZAR 2,000,000 for the duration of the contract. The Astronomer shall be responsible for any damage to CTIAAR instruments caused by negligence during operation.
  8. Compliance: The Astronomer shall comply with all applicable South African regulations, including the National Research Act, the Protection of Personal Information Act (POPIA), and the Western Cape Environmental Management Act, particularly regarding light pollution and radio-frequency emissions in the Cape Town area.
  9. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Cape Town, South Africa. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA).
  10. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to severe weather, natural disasters, or government-imposed restrictions affecting operations in Cape Town.
Note: This Purchase Order is subject to the approval of the CTIAAR Finance Committee and the Western Cape Department of Higher Education and Training. The Astronomer must present a valid South African professional registration certificate and a clean criminal record check (as per the Protection of Teachers Act and applicable institutional policies) prior to the commencement date. 6.
