The Astronomer engaged under this Purchase Order shall fulfill the following obligations while stationed in South Korea Seoul:

  • Conduct a minimum of 200 hours of observational astronomy per quarter using the SMARI 2.4-meter telescope and auxiliary instruments located in Gwanak-gu, Seoul.
  • Produce and submit quarterly research progress reports to the SMARI Director's Office in both English and Korean.
  • Supervise a team of no fewer than six (6) graduate students and two (2) postdoctoral researchers at the South Korea Seoul campus.
  • Deliver twelve (12) public astronomy outreach sessions at venues across South Korea Seoul, including the Seoul Science Museum, the National Museum of Korea, and partner secondary schools in the Seoul metropolitan region.
  • Collaborate with the Korea Astronomy and Space Science Institute (KASI) in Daejeon for joint observation campaigns, with travel expenses billed separately under a supplementary Purchase Order.
  • Ensure all data collected is stored in compliance with South Korea's Personal Information Protection Act (PIPA) and the National Science and Technology Commission data governance guidelines.
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea (South Korea). Any disputes arising from this Purchase Order shall be resolved through arbitration at the Korean Commercial Arbitration Board (KCAB) in Seoul, South Korea.
  2. Payment Schedule: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 30% upon completion of the six-month milestone, and 30% upon final acceptance of all deliverables. All payments shall be remitted via wire transfer to the Supplier's designated bank account in USD.
  3. Visa and Immigration: The Buyer (SMARI) shall be responsible for sponsoring the Astronomer's E-7 (Specialty Occupation) visa for South Korea Seoul. The Supplier shall provide all necessary documentation, including a letter of employment, proof of qualifications, and a criminal background check, within fourteen (14) calendar days of this Purchase Order's issuance.
  4. Intellectual Property: All research data, publications, and intellectual property generated by the Astronomer during the term of this Purchase Order while performing duties in South Korea Seoul shall be jointly owned by SMARI and the Supplier, as detailed in a separate Intellectual Property Agreement to be executed concurrently.
  5. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Astronomer shall complete all in-progress observations and submit a final data report before departing South Korea Seoul.
  6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, natural disasters (including typhoons affecting the South Korea Seoul region), government sanctions, or pandemics, provided written notice is given within five (5) business days.
  7. Compliance: The Astronomer shall comply with all applicable South Korean labor laws, tax obligations, and professional licensing requirements while performing services in South Korea Seoul. The Supplier warrants that the Astronomer holds a minimum of a Doctorate in Astronomy or Astrophysics and possesses at least five (5) years of post-doctoral research experience.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Astronomer in South Korea Seoul. This document constitutes a binding procurement agreement effective upon the last signature.
