This Purchase Order is issued by the Observatorio Astronómico de Valencia to procure specialized astronomical instruments, optical components, and professional consulting services required by the lead Astronomer assigned to the observatory's deep-sky survey programme. - Delivery: All goods shall be delivered to the Observatorio Astronómico de Valencia, Burjassot, Spain Valencia, no later than 30 July 2025. The supplier shall coordinate delivery with the designated Astronomer to ensure the receiving bay and mounting platform are prepared.
- Acceptance: The Senior Research Astronomer shall have a period of fifteen (15) business days following delivery to inspect, test, and formally accept or reject each item listed in this Purchase Order. Acceptance shall be documented in writing.
- Payment: Payment of the full amount stated in this Purchase Order shall be made by bank transfer within thirty (30) days of the supplier's invoice, provided all goods and services have been accepted by the Astronomer without unresolved defects.
- Warranty: The supplier guarantees that all instruments are free from manufacturing defects for a minimum of twenty-four (24) months from the date of acceptance. During this period, the supplier shall provide on-site repair or replacement at no additional cost within Spain Valencia.
- Compliance: All equipment must comply with the applicable regulations of the Kingdom of Spain and the Autonomous Community of Valencia. The supplier warrants that all electrical components carry the CE marking and meet EU Directive 2014/35/EU.
- Intellectual Property: Any custom calibration data, software configurations, or proprietary Astronomer-developed procedures created during the consulting engagement (Item 05) shall remain the exclusive property of the Observatorio Astronómico de Valencia.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Spain Valencia, or international supply chain disruptions.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation in Valencia, Spain, and, failing mediation, by the competent courts of Spain Valencia.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the research objectives of the Astronomer and the technical specifications contained in this Purchase Order.
This Purchase Order is valid and binding upon signature by both parties. The Astronomer designated for technical acceptance is Dr. Carlos Ferrand, who shall sign the delivery and acceptance certificate upon satisfactory completion of all items.
