This Purchase Order is issued by the Zurich Institute for Astronomical Research to procure specialized observational equipment, calibration instruments, and supporting hardware required for the ongoing research programme led by the senior Astronomer Dr. Marcus Felder. All goods shall be delivered to the ZIAR observatory premises at Bahnhofstrasse 142, 8001 Switzerland Zurich, no later than 15 August 2025. The supplier is responsible for all packaging, freight, insurance, and customs clearance (if applicable for intra-Swiss transport) to ensure safe arrival of precision optical components. Installation and commissioning shall be completed within ten (10) business days of delivery, and the Astronomer Dr. Felder shall sign the acceptance certificate upon successful verification of all performance parameters.

Note: The delivery site in Switzerland Zurich is subject to strict vibration and electromagnetic interference controls. The supplier must coordinate with the ZIAR facilities team at least fourteen (14) days prior to the scheduled delivery date to arrange access through the reinforced observatory entrance and to confirm the availability of the crane and lift equipment required for the adaptive optics unit.
  • 30% advance payment (CHF 343,600.70) due within fourteen (14) days of the issue date of this Purchase Order, via bank transfer to the supplier's account at UBS AG, Switzerland Zurich.
  • 50% progress payment (CHF 572,667.83) due upon confirmed delivery and successful installation of all hardware items at the Switzerland Zurich facility.
  • 20% final payment (CHF 229,067.12) due within thirty (30) days after the Astronomer has signed the final acceptance certificate confirming that all instruments meet the technical specifications.
  • All payments shall be made in Swiss Francs (CHF) to the following account: IBAN CH93 0076 2011 6238 5295 7, BIC POFICHBEXXX, UBS AG, Bahnhofstrasse 5, 8001 Switzerland Zurich.
  • Late payments shall incur interest at the rate of 5% per annum, calculated on a daily basis, in accordance with Article 104 of the Swiss Code of Obligations.
  • This Purchase Order is governed by the laws of the Swiss Confederation. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Switzerland Zurich.
  • The supplier warrants that all equipment is new, unused, and free from defects in material and workmanship for a minimum period of thirty-six (36) months from the date of acceptance.
  • The supplier shall provide full technical documentation, including user manuals, calibration certificates, and software licences, in English, to the Astronomer and the ZIAR research team within five (5) business days of delivery.
  • Intellectual property rights in any custom software or firmware delivered under this Purchase Order shall remain with the supplier; however, ZIAR and the Astronomer are granted a perpetual, non-exclusive licence to use such software for research purposes at the Switzerland Zurich facility.
  • The supplier shall comply with all applicable Swiss environmental, safety, and occupational health regulations during the installation phase in Switzerland Zurich.
  • Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of a material breach that remains uncured after a further fourteen (14) days' written notice.
  • This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.

By signing below, the authorised representatives of both parties confirm that this Purchase Order has been reviewed, approved, and is binding upon both the buyer and the supplier. The Astronomer Dr. Marcus Felder, as the principal investigator, has reviewed and endorsed the technical specifications referenced in Section 2 of this document.
