- Delivery: All items listed in this Purchase Order shall be delivered to the University of Dar es Salaam observatory site in Tanzania Dar es Salaam no later than 30 November 2025. The supplier is responsible for all shipping, customs clearance, and import duties in the United Republic of Tanzania.
- Payment Terms: A 30% advance payment (USD 130,575.00) shall be made within 14 business days of acceptance of this Purchase Order. The remaining 70% (USD 304,675.00) shall be paid within 30 days of successful delivery, installation, and acceptance by the Astronomer and the University's procurement committee.
- Warranty: The supplier guarantees all equipment for a minimum period of 36 months from the date of installation in Tanzania Dar es Salaam. Any defects in materials or workmanship shall be repaired or replaced at no additional cost to the University.
- Compliance: All instruments must meet the specifications outlined in Annex A of this Purchase Order and must be suitable for operation by a professional Astronomer under the tropical, high-humidity conditions of the Dar es Salaam coastal region. Equipment must be rated for ambient temperatures of 22°C to 35°C and relative humidity up to 95%.
- Intellectual Property: All data generated by the Astronomer using the purchased equipment shall remain the sole property of the University of Dar es Salaam. The supplier shall not claim any rights over research outputs.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Dar es Salaam, Tanzania, in accordance with the Arbitration Act of the United Republic of Tanzania.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures affecting delivery to Tanzania Dar es Salaam.
