- Scope of Purchase: This Purchase Order is issued by Chulalongkorn Digital Infrastructure Co., Ltd. (hereinafter "the Buyer"), a registered entity operating in Thailand Bangkok, for the procurement of Astronomer, Inc. (hereinafter "the Seller") data engineering platform services, licenses, and associated professional services as itemized above.
- Delivery and Deployment Location: All software deployments, cloud infrastructure provisioning, and on-site services shall be delivered and executed at the Buyer's primary data center located at 88 Sukhumvit Road, Khlong Toei, Bangkok 10110, Thailand. The Astronomer platform shall be configured with Thailand Bangkok as the primary operational region, ensuring data residency compliance with the Personal Data Protection Act (PDPA) of Thailand.
- Timeline: The Seller shall complete initial platform provisioning within 15 business days of Purchase Order acceptance. The on-site training workshop in Bangkok shall be scheduled no later than 30 days from the date of this Purchase Order. Full operational readiness of the Astronomer environment in Thailand Bangkok is expected within 45 calendar days.
- Payment: Payment shall be made in Thai Baht (THB) via bank transfer to the Seller's designated international account within 30 days of the invoice date. The Buyer reserves the right to withhold 10% of the total amount until successful completion of the 90-day performance verification period in Thailand Bangkok.
- Warranty and Support: The Seller warrants that the Astronomer platform shall operate with 99.9% uptime as measured from the Thailand Bangkok region. Premium support shall include a dedicated account manager available during Bangkok business hours (08:00–18:00 ICT) and 24/7 critical incident response.
- Intellectual Property: All custom integration modules developed specifically for the Buyer's Thailand Bangkok operations, including the Thai Government Data Portal API Connector, shall be the exclusive property of the Buyer upon full payment.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand.
