All goods and services under this Purchase Order shall be delivered, installed, and made operational at the Ankara University Observatory, located at Atıf Hoca Campus, Tandoğan, 06100 Ankara, Turkey. The Seller acknowledges that the final destination for all shipments is Turkey Ankara and shall arrange all necessary customs clearance, import permits, and transportation logistics to ensure that the equipment reaches the Astronomer's laboratory and the observatory dome in Turkey Ankara in full working condition. The Buyer's designated receiving officer in Turkey Ankara shall be Dr. Mehmet Yılmaz, Laboratory Manager, who shall sign the delivery receipt upon inspection.
5. Payment Terms- Advance Payment: 30% of the total Purchase Order value (USD $187,950.00) shall be paid within 15 business days of the Buyer's written acceptance of this Purchase Order, via irrevocable letter of credit issued by Ziraat Bankası, Ankara branch, Turkey.
- Shipment Payment: 50% of the total Purchase Order value (USD $313,250.00) shall be paid upon presentation of the Bill of Lading, Certificate of Origin, and packing list confirming shipment to Turkey Ankara.
- Final Payment: The remaining 20% of the total Purchase Order value (USD $125,300.00) shall be paid within 30 days after successful installation, calibration, and acceptance by the Astronomer and the technical committee in Turkey Ankara.
- All payments shall be made in US Dollars unless otherwise agreed in writing. The Buyer reserves the right to pay in Turkish Lira at the Central Bank of Turkey's published exchange rate on the date of payment.
- This Purchase Order is governed by the laws of the Republic of Turkey and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved by arbitration in Ankara, Turkey, in accordance with the rules of the Istanbul Arbitration Centre (ISTAC).
