Terms and Conditions

1. Acceptance: By signing this Purchase Order, the supplier agrees to furnish all goods and services listed above to Astronomer Research & Optical Instruments Ltd. at the designated facility in Turkey Istanbul. This document constitutes a binding agreement between both parties upon countersignature.
2. Delivery: All items shall be delivered DDP (Delivered Duty Paid) to the Astronomer headquarters located in Şişli, Istanbul, Turkey. The supplier is responsible for all transportation, customs clearance, import duties, and value-added tax (VAT) applicable under Turkish law until the goods are physically received by Astronomer personnel in Istanbul.
3. Quality Assurance: All optical and electronic components must meet or exceed the specifications outlined in the Astronomer Technical Standards Manual (Rev. 7, 2024). Any item found defective upon inspection at the Istanbul facility shall be replaced at the supplier's sole expense within thirty (30) calendar days.
4. Payment: Payment shall be made via international wire transfer to the supplier's designated bank account within forty-five (45) days of the date of the commercial invoice, provided that all goods have been received and inspected satisfactorily by the Astronomer procurement team in Turkey Istanbul.
5. Warranty: The supplier warrants all equipment for a minimum of twenty-four (24) months from the date of delivery in Istanbul. Warranty service shall be provided through the supplier's authorized service partner in Turkey or via remote diagnostic support, at no additional cost to Astronomer.
6. Intellectual Property: All custom-configured items bearing the Astronomer brand designation, including the custom Dobsonian telescope builds and calibration reference sets, shall remain the exclusive intellectual property of Astronomer Research & Optical Instruments Ltd. The supplier shall not reproduce, resell, or disclose Astronomer-specific configurations to any third party.
7. Compliance: The supplier certifies that all goods comply with applicable Turkish import regulations, CE marking requirements where applicable, and the relevant standards set forth by the Turkish Standards Institution (TSE). The supplier shall provide all necessary documentation, including certificates of origin, conformity declarations, and technical data sheets, prior to shipment to Istanbul.
8. Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, governmental sanctions, or disruptions to international shipping lanes affecting delivery to Turkey Istanbul.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this agreement shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Center (ISTAC).
