All Astronomer hardware components shall be delivered to the Makerere University Astronomical Research Institute premises in Uganda Kampala no later than 30 July 2025. The Astronomer East Africa Division, operating from its Uganda Kampala office in the Industrial Area, shall be responsible for all logistics, customs clearance at Entebbe International Airport, and final delivery to the designated installation site. Installation and full calibration of the Astronomer system shall be completed within ten (10) working days of hardware delivery. The Astronomer technical team shall provide comprehensive on-site training to no fewer than eight (8) research staff members at the Uganda Kampala facility, covering operation, data acquisition, spectrographic analysis, and routine maintenance procedures.
4. Payment Terms- Advance Payment (30%): UGX 71,808,900 shall be remitted within fourteen (14) calendar days of the acceptance of this Purchase Order by both parties. This payment is contingent upon the Astronomer vendor issuing a formal proforma invoice referencing PO-UG-KLA-2025-0472.
- Delivery Payment (50%): UGX 119,681,500 shall be due within twenty-one (21) days following successful delivery and physical inspection of all Astronomer components at the Uganda Kampala installation site. A joint inspection report signed by both parties shall accompany this payment.
- Completion Payment (20%): UGX 47,872,600 shall be payable within fourteen (14) days after the Astronomer system has been fully installed, calibrated, and has passed a seventy-two (72) hour continuous operational test at the Uganda Kampala observatory. Final acceptance documentation must be countersigned by the Institute's Director of Research.
- All payments shall be made via bank transfer to the Astronomer Global Instruments Ltd. account held at Stanbic Bank, Uganda Kampala Branch, Account No. 0045-8821-7736, SWIFT: STBBUGKA.
- The Astronomer hardware carries a minimum two-year manufacturer's warranty against defects in materials and workmanship, commencing from the date of final acceptance at the Uganda Kampala site.
- The Astronomer Environmental Enclosure must be specifically rated for the tropical climate conditions of Uganda Kampala, including sustained ambient temperatures of 30°C–38°C and relative humidity levels up to 95%. The vendor warrants that all Astronomer components will operate within specified tolerances under these conditions.
- All Astronomer software licenses are perpetual and non-transferable, restricted to the Uganda Kampala facility. Any relocation of the Astronomer system beyond a 50-kilometre radius of the Uganda Kampala campus requires prior written consent from Astronomer Global Instruments Ltd.
- The vendor shall comply with all applicable Ugandan import regulations, the Uganda Revenue Authority (URA) tax obligations, and the National Environment Management Authority (NEMA) guidelines applicable to Uganda Kampala.
- In the event of a dispute, both parties agree to first attempt resolution through mediation in Uganda Kampala. Should mediation fail, the matter shall be referred to arbitration under the rules of the Uganda Arbitration Centre, with proceedings conducted in Uganda Kampala.
- This Purchase Order supersedes all prior quotations, correspondence, and verbal agreements between the parties regarding the Astronomer system acquisition. Any amendments must be made in writing and signed by authorized representatives of both parties.
