3. DELIVERY AND LOGISTICSAll goods covered under this Purchase Order shall be delivered to the following address in United Arab Emirates, Dubai:

Delivery is expected no later than 30 July 2025. The supplier shall bear all risks and costs of transportation until the goods are received and inspected at the Astronomer facility in Dubai. All shipments must comply with the customs regulations of the United Arab Emirates, and the supplier is responsible for providing all necessary export documentation, certificates of origin, and conformity declarations required by Dubai Customs.
4. TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between Astronomer LLC (Buyer) and Stellar Instruments International GmbH (Supplier) upon written acceptance by both parties.
- All prices are quoted in United Arab Emirates Dirhams (AED) and are inclusive of applicable 5% UAE Value Added Tax (VAT) as mandated by the Federal Tax Authority of the United Arab Emirates.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of the commercial invoice, subject to satisfactory inspection and acceptance of all goods at the Astronomer facility in Dubai.
- The supplier warrants that all equipment delivered under this Purchase Order shall be new, unused, and in full compliance with the specifications outlined in the attached technical annex (Annex A), which forms an integral part of this document.
- Astronomer LLC reserves the right to reject any item that does not meet the agreed-upon specifications. Rejected items must be replaced or credited within fifteen (15) business days at the supplier's sole expense.
- A warranty period of twenty-four (24) months from the date of successful installation and commissioning in Dubai shall apply to all mechanical and electronic components. The warranty covers defects in materials and workmanship but excludes damage caused by misuse, environmental factors beyond rated specifications, or unauthorized modifications.
- Intellectual property rights related to all proprietary software, firmware, and control systems included with the delivered equipment remain the property of the supplier. Astronomer LLC is granted a perpetual, non-exclusive license to use such software solely for the operation of the purchased equipment within the United Arab Emirates.
- Any disputes arising from this Purchase Order shall be governed by the laws of the United Arab Emirates and shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. In the event of a dispute, both parties agree to first attempt resolution through good-faith mediation before initiating any legal proceedings.
- This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other party.
- All communications regarding this Purchase Order shall be directed to the procurement department of Astronomer LLC in Dubai via the email address specified in Section 1.
